Terms of Service

These Terms govern use of RoadReady Fleet OS. By creating an account, joining a company workspace or using the service, you agree to these Terms and the Privacy Policy.
1. The service
RoadReady provides tools for fleet operations, including company workspaces, dispatch, route updates, automatic Load Inbox email and document extraction, fleet records, documents, maintenance, expenses, customer invoices, reports, notifications, team communications and optional third-party integrations such as QuickBooks Online. Features may change as the service develops.
2. Eligibility and authority
You must be legally able to enter into these Terms. When creating or administering a company workspace, you represent that you have authority to act for that company and to invite its users.
3. Accounts and security
You must provide accurate information, protect your credentials and invitation codes, and promptly remove access for people who should no longer use the workspace. You are responsible for activity performed through your account unless caused by RoadReady's own breach.
4. Company data and user content
You retain ownership of information and files submitted to RoadReady. You grant RoadReady a limited right to host, process, reproduce and transmit that content only as needed to provide, secure and support the service. Content includes email and attachments intentionally sent or forwarded to a company's unique RoadReady Load Inbox address. You must have the necessary rights and permissions to upload or forward all content and personal information.
5. Acceptable use
You may not use RoadReady to break the law, violate privacy or intellectual-property rights, harass others, distribute malware, bypass access controls, overload the service, reverse engineer protected components, or upload illegal or dangerously misleading operational content.
6. Operational responsibility
RoadReady is an administrative and communication tool. Its ETA is an operational planning estimate. RoadReady is not an electronic logging device, navigation authority, safety inspection, legal-compliance system, licensed accounting or tax service, payroll processor or emergency service. Document extraction and automatic route creation can be incomplete when source paperwork is unclear; RoadReady sends uncertain items to review, and the company remains responsible for monitoring that queue and verifying operationally important information. QuickBooks synchronization does not replace review by the company or its accounting professional. Users remain responsible for regulatory compliance, safe driving, legal HOS decisions, route and clearance decisions, document accuracy, chart-of-accounts mappings, customer and vendor information, invoice accuracy, payroll, taxes and equipment condition.
7. Location, telematics and ETA
A driver may share a location manually. A company Owner may also connect an authorized telematics account so RoadReady can synchronize available vehicle location, HOS and related provider data and calculate multi-stop operational ETA. Pickup, stop and delivery addresses or coordinates may be processed by the configured location service to calculate road routes. The company must have authority to connect each provider account and must obtain any notice, consent or permission required by employment, privacy, labour or other applicable law. Location services, telematics providers and road data may be delayed, incomplete or unavailable; drivers and dispatchers must verify routes, restrictions and legal HOS using authoritative sources.
8. QuickBooks and external accounting services
A company Owner may authorize RoadReady to access that company's QuickBooks Online account. RoadReady will use the authorization only for features the company enables, such as synchronizing eligible expenses, receipts, customers, invoices, POD attachments and invoice status. The company is responsible for reviewing every synchronized transaction, choosing correct accounts and service items, preventing duplicates, and confirming tax treatment. RoadReady does not process QuickBooks Payments and does not submit payroll through the QuickBooks Payroll API in this version. Availability and results may depend on Intuit, the company's QuickBooks subscription and third-party API limits or outages.
9. Trials, subscriptions and billing
Some plans may include a trial. Paid subscriptions renew according to the checkout terms shown at purchase until cancelled. Stripe processes payments. Taxes may be added where required. Except where law requires otherwise, fees already charged are non-refundable. A failed or cancelled subscription may place a company workspace into limited or read-only access.
10. Availability and changes
RoadReady may experience maintenance, third-party outages or defects. Features, limits and pricing may change with reasonable notice when practical. Beta or early-access features may be changed or discontinued at any time.
11. Suspension and termination
Access may be suspended or terminated for security risks, non-payment, abuse, unlawful use or material violation of these Terms. Users may delete their account in the app. Owners may delete a company workspace when the service permits and required subscription obligations have been addressed.
12. Disclaimers
To the maximum extent permitted by law, RoadReady is provided “as is” and “as available,” without warranties of uninterrupted operation, merchantability, fitness for a particular purpose or error-free data. Nothing in these Terms excludes rights that cannot legally be excluded.
13. Limitation of liability
To the maximum extent permitted by law, RoadReady will not be liable for indirect, incidental, special, punitive or consequential loss, including lost profit, lost loads, missed deliveries, data loss or business interruption. Total liability for claims related to the service will not exceed the amount paid for the service during the three months before the event giving rise to the claim.
14. Indemnity
You agree to be responsible for claims arising from your unlawful use of RoadReady, your content, your violation of these Terms or your infringement of another person's rights, to the extent permitted by law.
15. Governing law
These Terms are governed by the laws of Manitoba and the applicable federal laws of Canada, without regard to conflict-of-law principles. Courts located in Manitoba will have jurisdiction, except where consumer law requires another forum.
